These Terms of Service apply to the website at www.socialistfox.com and to the services Socialist Fox provides, including AI solutions and automation, AI assistants, custom software, web and mobile apps, websites, CRM systems, dashboards, integrations, data work, security and ongoing support.
Every project is different, so the details of each one are set out in a written proposal or agreement. These terms cover the points that apply to all of our work and fill in anything a project agreement does not cover.
01 About These Terms
In these terms, "Socialist Fox", "we", "us" and "our" refer to Socialist Fox. "You" and "client" refer to anyone who uses our website, and to the business or person who asks us for, or receives, our services.
By using our website or our services, you agree to these terms. If you are accepting them on behalf of a business, you confirm that you have the authority to do so.
If these terms and a signed proposal, statement of work or contract conflict, the signed document applies to that project.
02 Our Services
We design, build, connect and support software and digital systems for businesses. The exact services, deliverables, timeline and price for a project are those described in the proposal or agreement for that project.
Our services are intended for businesses and professionals, not for personal or household use. Information on our website, including articles, case studies and service descriptions, is general information. It is not advice for your specific situation and does not form part of any agreement unless we include it in writing.
03 Using Our Website
You may browse our website and share links to it. When using it, you agree not to:
- Use it in a way that breaks any law or regulation.
- Try to gain unauthorised access to the website, its hosting or any connected system.
- Send spam, harmful code or false information through our forms.
- Copy, scrape or republish our content, design or graphics for commercial use without our written permission.
- Pretend to be Socialist Fox or suggest that we endorse you when we do not.
We work to keep the website accurate and available, but we do not promise that it will always be available, free of errors or up to date. We may change or remove any part of it at any time.
04 Enquiries, Proposals and Quotes
Sending us an enquiry, booking a call or receiving a proposal does not create an agreement. A proposal or quote is based on the information you share with us at the time, and it is valid for 30 days unless it says otherwise.
If the requirements change, or new information comes to light, we may need to update the proposal before work starts.
05 Project Agreements and Scope
A project starts when both sides have agreed the scope in writing, for example by signing a proposal or statement of work, or by confirming it by email, and any agreed deposit has been paid.
The agreed scope describes what we will deliver. Anything not included in it, such as extra features, pages, integrations, content, training or support, is outside the scope unless we agree to add it.
06 Changes to Scope
Plans often change once a project is under way, and that is normal. If you would like to add, remove or change something, tell us and we will explain how it affects the timeline and cost before doing the work.
Changes are only made once you have approved them in writing. Small adjustments that do not affect the timeline or cost may be made without a formal change request.
07 Your Responsibilities
Good results depend on both sides. To keep a project on track, you agree to:
- Give us accurate and complete information about your requirements, processes and systems.
- Provide content, files, feedback, approvals and access when they are needed.
- Name a person who can make decisions and give approvals on your behalf.
- Make sure you have the rights to any content, data, logos, images or materials you give us.
- Make sure you have a lawful basis to share any personal data you give us, and tell us about any legal or industry rules that apply to it.
- Keep your own accounts, passwords and user permissions secure, give us only the access the work needs, and keep your own backups of important data. We are not responsible for unauthorised access caused by weak or reused passwords, compromised accounts on your side or access shared outside our control.
08 Fees, Invoices and Payment
Fees, payment stages and the currency are set out in the proposal or agreement for each project. Unless agreed otherwise:
- Projects may require a deposit before work begins, with the remaining payments linked to agreed milestones.
- Invoices are due within 14 days of the invoice date.
- Ongoing support, maintenance and hosting management are invoiced in advance for each period.
- Prices do not include taxes, which are added where they apply.
- Bank charges and transfer fees on your side are paid by you.
If an invoice is overdue, we will remind you first. If it is still unpaid, we may pause work until it is settled, and timelines will move by the length of the pause.
09 Timelines and Delays
We agree timelines with you at the start of a project and work hard to meet them. Timelines are estimates and depend on receiving content, feedback, approvals and access on time.
If a delay is caused by missing information, late feedback, changes to scope or problems with third-party services, the timeline will move to reflect it. If a project is paused at your request for more than 30 days, we may need to reschedule it around our other commitments.
Neither side is responsible for delays caused by events outside its reasonable control, such as outages of major platforms, internet failures, natural disasters or government action.
10 Testing, Acceptance and Launch
Before launch, we will give you the chance to review and test the work against the agreed scope. Please report any issues within the review period set out in the project agreement, or within 10 working days if none is set.
We will fix anything that does not match the agreed scope. The work is treated as accepted when you approve it, when it is launched or used in your business, or when the review period ends without issues being reported, whichever happens first.
11 Ownership and Intellectual Property
Your materials
You keep ownership of everything you give us, including your data, content, branding and documents. You give us permission to use them only to deliver your project.
Work we create for you
Once all fees for a project have been paid in full, you own the custom code, designs and deliverables we create specifically for you, unless the project agreement says otherwise. Until then, we keep ownership and give you permission to use the work for review and testing.
Our tools and existing work
To work efficiently, we use our own existing code, components, templates, methods and know-how. We keep ownership of these, and once you have paid in full you receive a permanent licence to use them as part of the work we delivered to you.
Third-party and open source components
Some work includes open source software, fonts, images or other third-party components. These remain the property of their owners and are used under their own licences.
12 Third-Party Tools and Costs
Many projects rely on services run by other companies, such as hosting, domains, app stores, AI models, automation platforms, CRMs, payment providers, email services and APIs. Unless agreed otherwise, these accounts are set up in your name and their costs are paid by you, separately from our fees. We will tell you about expected third-party costs before you commit to them.
We do not control these services and are not responsible for their availability, pricing, changes to their features or terms, or the way they handle data. If a third-party change affects your system after launch, we can help update it as additional work or as part of a support plan.
13 AI Solutions and Automation
AI tools are powerful, but they can make mistakes. Answers, summaries, extracted data and other output generated by AI may sometimes be incomplete or wrong. We design AI solutions with checks, limits and human review where they matter, and we explain how a system should be used.
You are responsible for how AI output is used in your business, including reviewing important decisions, information given to your customers and anything with legal, financial, medical or safety consequences. We do not guarantee any particular level of accuracy, cost saving or business result unless it is agreed in writing.
We will not place your confidential data into public AI tools without your approval, as explained in our Privacy Policy.
14 Confidentiality
Both sides agree to keep each other's confidential information private and to use it only for the project. This includes business plans, processes, data, code, pricing and any information marked or reasonably understood to be confidential.
This does not apply to information that is already public, was already known to the receiving side, is received lawfully from someone else, or must be disclosed by law. These obligations continue after the project ends. We are happy to sign a Non-Disclosure Agreement before you share details, and if one is signed, it applies alongside these terms.
15 Data Protection
Our Privacy Policy explains how we handle personal information collected through our website and our business communications.
When we handle personal data inside your systems or on your behalf during a project, we do so only on your instructions and to deliver the agreed work. You remain responsible for that data. If the law requires a data processing agreement, we will sign one with you.
16 Support, Maintenance and Warranty
For 30 days after launch, we will fix, at no extra cost, any defect in our work that stops it from working as described in the agreed scope. This does not cover issues caused by changes made by you or others, third-party services, hosting problems, misuse, or new requests.
After that period, ongoing support, monitoring, updates and improvements are available through a support plan or as separately agreed work. Software needs care over time, and without maintenance, systems may stop working as platforms, browsers and third-party services change.
Apart from the commitments in these terms and in the project agreement, our services are provided without any other warranties, to the extent the law allows.
17 Portfolio and Publicity
We will not publish your name, logo, project details or testimonial without your permission. If you agree, we may describe the project in our portfolio or case studies, with confidential details removed. You can ask us to stop at any time, and we will remove it from our website within a reasonable time.
18 Limitation of Liability
Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
To the extent the law allows:
- Neither side is liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, even if it was foreseeable.
- Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the 12 months before the claim arose.
- We are not liable for losses caused by third-party services, by information or materials you provided, or by changes made to the work by anyone other than us.
19 Indemnity
You agree to cover any claims, losses and reasonable costs we face because the content, data or materials you gave us infringe someone else's rights or were shared unlawfully, or because the work was used in a way that breaks the law.
20 Suspension and Termination
Either side may end a project by giving written notice. If you end it, you pay for the work completed and costs committed up to the date of notice, and we hand over the completed work once those amounts are paid.
Either side may end a project straight away if the other seriously breaches these terms or the project agreement and does not fix the breach within 14 days of being asked to. We may also pause work if invoices remain unpaid, as explained above.
The sections on payment, ownership, confidentiality, liability and indemnity continue to apply after a project ends.
21 Job Applications
If you apply for a role through our Careers page, sending an application does not create an offer of employment, a contract or any other agreement. Any offer will be made in writing and will have its own terms. How we handle the personal information in your application is explained in our Privacy Policy.
22 Third-Party Links
Our website links to other websites and platforms, such as our social media profiles and our call booking page. We do not control them and are not responsible for their content, availability or practices. Their own terms and policies apply when you use them.
23 Governing Law and Disputes
If a disagreement comes up, please tell us first. Most issues can be resolved quickly through an honest conversation, and both sides agree to try in good faith to resolve any dispute this way before taking formal action.
The law that governs a project, and the courts that can hear disputes about it, are set out in the project agreement. Where an agreement does not say, these terms are governed by the laws of the country in which Socialist Fox is registered, and its courts have jurisdiction. This does not take away any rights you have under the mandatory laws of the country where you are based.
24 General
- If any part of these terms is found to be invalid, the rest remains in effect.
- If we do not enforce a right straight away, we do not give it up.
- Neither side may transfer its rights under a project agreement without the other's written consent, except as part of the sale or merger of a business.
- We may use trusted team members and contractors to deliver work. We remain responsible for their work, and they are bound by confidentiality obligations.
- Both sides work as independent businesses. Nothing in these terms creates a partnership, joint venture or employment relationship.
- Notices about a project may be sent by email to the contact addresses each side has given.
25 Changes to These Terms
We may update these terms to reflect changes to our services, our business or the law. The updated version will be posted on this page with a new "Last updated" date. Changes do not affect projects already agreed in writing, unless both sides agree.
